Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In such jurisdictions, OnePulse's liability will be limited to the greatest extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless OnePulse, its officers, directors, employees, agents, and licensors from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or relating to:

  • Your violation of these Terms
  • Your use of the Service
  • Your User Content
  • Your violation of any third-party rights

15. Dispute Resolution

15.1 Informal Resolution

Before initiating formal proceedings, both parties agree to attempt to resolve disputes informally by negotiation. Contact support@onepulse.community with a detailed description of the dispute, and OnePulse will attempt to resolve the matter within 30 days.

15.2 Binding Arbitration

If the dispute cannot be resolved informally, you and OnePulse agree that any claim or dispute arising from these Terms or your use of the Service shall be resolved by binding arbitration rather than in court, except as otherwise provided below.

Arbitration Process:

  • Claims will be resolved by a single neutral arbitrator
  • Arbitration will be conducted under the American Arbitration Association (AAA) Consumer Arbitration Rules
  • Each party bears its own costs; OnePulse will pay the arbitrator's fees and arbitration costs exceeding what you would pay if pursuing the claim in court
  • Arbitration will be conducted in English
  • The arbitrator's decision is final and binding and may be enforced in any court of competent jurisdiction

The following are not subject to arbitration:

  • Small claims court actions (if permitted by applicable law)

15.5 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any proceedings not subject to arbitration shall be brought exclusively in the state or federal courts of Delaware.

16. Modifications to the Service

OnePulse may modify, suspend, or discontinue the Service or any part thereof at any time, with or without notice. OnePulse is not liable to you for any modification, suspension, or discontinuance of the Service.

If you do not accept a modification to the Service, your sole remedy is to discontinue use of the Service.

17. Termination of These Terms

These Terms remain in effect while you use the Service. OnePulse may terminate these Terms and your access to the Service at any time, without notice or liability, for any reason.

Sections that by their nature should survive termination shall survive, including but not limited to: Intellectual Property Rights, Disclaimers, Limitation of Liability, Indemnification, Dispute Resolution, and Governing Law.

18. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or if that is not possible, the provision will be severed. The remaining provisions shall continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy and any other terms OnePulse may post, constitute the entire agreement between you and OnePulse regarding the Service and supersede all prior agreements, understandings, and negotiations, whether written or oral.

If there is a conflict between these Terms and any other OnePulse terms or policies, these Terms shall control.

20. Waiver

OnePulse's failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. If OnePulse waives a breach in one instance, that does not waive any future breaches.

21. Equitable Relief

You acknowledge that a breach of these Terms may cause irreparable harm for which monetary damages would be an inadequate remedy. OnePulse shall be entitled to seek equitable relief, including injunctive relief and specific performance, without posting bond and without proving actual damages.

22. Accessibility

OnePulse is committed to ensuring the Service is accessible to all users. If you experience accessibility barriers, please contact us at support@onepulse.community so we can assist you.
